Essential Secretarial Registers - Companies are Required to Maintain:

MGT-1 Register of Members and Debentures holders if any

This register contains details of the company's shareholders, including their names, addresses, and shareholdings. Any changes in shareholding, such as transfers or transmissions, are to be recorded in this register.

This register records the shareholdings of the company's directors. It includes details of shares held by each director, including their names, addresses, and the number and class of shares held

This register contains details of the transfer of equity shares/any other securities. Any changes in shareholding are to be recorded in this register

Companies are required to maintain a register of contracts or arrangements in which directors are interested. This includes details of contracts, agreements, or transactions in which directors have a direct or indirect interest.

If a company creates or modifies charges on its assets, it must maintain a register of charges. This register contains details of the charges, including the date of creation/modification, the nature of the charge, details of the property charged, and the name of the charge holder

Secretarial Audit  

Applicability:
Under the Companies Act, 2013, every listed company and every public company having a paid-up share capital of Rs. 50 crore or more, or turnover of Rs. 250 crore or more, are required to conduct a secretarial audit. This is mandated under Section 204 of the Companies Act, 2013.

Applicability to Private Company Subsidiary of a Public Company:
Section 204 is not applicable to a private company which is a subsidiary of a public company. However, it's common practice for such private subsidiaries to voluntarily conduct secretarial audits for better corporate governance and compliance.

Purpose of Secretarial Audit:
The primary purpose of secretarial audit is to provide an independent assurance to the management and stakeholders regarding the compliance of statutory and regulatory requirements. It also helps in identifying areas of improvement in corporate governance practices.

Appointment of Secretarial Auditor:
The Board of Directors appoints a practicing company secretary as the secretarial auditor. The auditor must be independent and have the requisite expertise to conduct the audit effectively.
